Terms of Service

These terms govern your use of CodeOutbox (the "service"). By creating an account or using the service, you agree to them.

1. The service

CodeOutbox is an email-marketing platform: you collect subscribers, write campaigns, and send email. We run our own mail infrastructure to deliver it.

2. Your account

You're responsible for activity under your account and for keeping your API keys secret. Tell us promptly if a key is compromised.

3. Acceptable use & anti-spam

You may only send email to recipients who have given you permission to email them. You must not:

You must comply with applicable laws including GDPR, the ePrivacy rules, CAN-SPAM, and CASL. We may throttle, suspend, or terminate accounts that generate excessive bounces or spam complaints, or that threaten our sending reputation.

4. Your data & responsibilities

You own your content and your subscriber lists. For subscriber data, you are the data controller and we are your processor; you confirm you have a lawful basis and the necessary consent to send to your subscribers. You grant us the limited licence needed to host and process this data to provide the service. A Data Processing Agreement is available on request.

5. Billing

Paid plans are billed in advance via Stripe on a recurring (monthly or annual) basis and renew automatically until cancelled. You can cancel anytime from the billing portal; access continues until the end of the paid period. We offer a 30-day money-back guarantee on paid plans: if you're not satisfied within 30 days of a charge, contact us for a full refund. Otherwise fees are non-refundable except where required by law. Prices may change with reasonable notice. A free tier is available subject to its limits.

6. Suspension & termination

You may close your account anytime. We may suspend or terminate access for breach of these terms, abuse, non-payment, or legal requirement. On termination we'll delete or anonymise your data within a reasonable period.

7. Deliverability

We work hard on deliverability, but email delivery depends on third-party mailbox providers. We don't guarantee that any message will reach the inbox.

8. Open source

The CodeOutbox software is open source under the MIT licence (github.com/Cellcote/CodeOutbox). These terms cover the hosted service; the licence covers the code.

9. Disclaimers & liability

The service is provided "as is" without warranties. To the maximum extent permitted by law, our aggregate liability for any claim is limited to the fees you paid us in the 12 months before the claim. We are not liable for indirect or consequential damages.

10. Indemnity

You agree to indemnify us against claims arising from your content, your sending, or your breach of these terms.

11. Changes

We may update these terms; material changes will be notified by email or in-app. Continued use means acceptance.

12. Governing law

These terms are governed by the laws of the Netherlands, and disputes are subject to the competent courts there, unless mandatory law provides otherwise.
